00:12:13.000 On Tuesday, as I went live, news broke that the Colorado Supreme Court ruled against Donald Trump and disqualified him from being on the ballot for the upcoming Republican primary.

00:12:23.000 Not only was this decision totally wrong, but it represents one of the worst cases of political bias and election interference in our nation's history.

00:12:31.000 The left and establishment right are terrified of a resurgent MAGA movement, one that has learned many lessons and has suffered seven years of political persecution.

00:12:40.000 And it has become increasingly clear that Trump will be the Republican nominee.

00:12:46.000 And as a result, the fear and agitation on the left has surged exponentially.

00:12:50.000 Recent polling data, which shows Trump handedly defeating Biden in nearly every swing state, has forced the Democrats to accept the reality that unless they find a way to cheat, they are going to get four more years of Donald Trump.

00:13:02.000 But this time, they will get Donald Trump with righteous indignation and a spirit of revenge and retribution.

00:13:08.000 And rightfully so, because these communists need to pay for what they have done.

00:13:12.000 We need to hold people accountable for treason, and preferably with the original punishment for treason.

00:13:18.000 This evidently

00:13:19.000 has sent alarms sounding across the Democrat Party, which has now gone all in on impending Trump from ever getting to the general election by removing his name from the ballots all across the nation.

00:13:30.000 In the example of the Colorado case, they are attempting to use a very niche clause in the 14th Amendment, which states that anyone who took part in an insurrection against the American government is disqualified from ever holding public office.

00:13:42.000 Obviously, that clause was intended for Confederate sympathizers, as it was added to the Constitution directly following the Civil War.

00:13:50.000 Either way, President Trump did not take part in any insurrection.

00:13:54.000 We all now know that January 6th was mostly an inside job precipitated by the FBI and CIA.

00:13:59.000 We also know that Trump told his supporters to be peaceful and to go home as January 6th was unfolding.

00:14:05.000 Branding him as some sort of a separatist or insurrectionist is totally beyond the pale, and any sensible person understands that.

00:14:13.000 But being sensible is not something we see frequently on the left anymore.

00:14:18.000 Their fear and determination to prevent another Trump presidency is leading them down increasingly insane paths.

00:14:25.000 First it was conjuring up fake stories of collusion.

00:14:28.000 Then it was fake sexual assault allegations.

00:14:31.000 Then it was election intimidation.

00:14:33.000 And now it is accusing him of leading insurrections.

00:14:38.000 With each instance of insanity, the political weaponization and banana republic tactics have only increased. 0.93

00:14:44.000 This kind of election interference and rigging of the political system against a specific individual goes beyond what many of the countries the United States often scolds for what we call anti-democratic elections would have attempted.

00:14:56.000 We have actually sanctioned other nations for doing far less during their elections to opposition candidates.

00:15:02.000 And so we can no longer pretend to be the moral authority or the global exporter of democracy.

00:15:08.000 This begs the question, has the United States become a third world nation?

00:15:12.000 The answer to that question is a resounding yes, and it is only going to get worse.

00:15:17.000 Politically, we have watched the ingrained bureaucracy in the swamp and establishment totally deny the American people their voice for seven years straight.

00:15:25.000 From the moment that Trump began his campaign, 0.93

00:15:28.000 The scum who compromised the political elite and the media did everything they could to discredit, distract, and destroy the MAGA movement. 0.96

00:15:35.000 Even when they had to grudgingly accept Trump's victory in 2016, they spent every waking moment of the next four years conniving cunning new ways to prevent him from implementing his America First agenda. 0.97

00:15:46.000 President Trump was given a huge mandate by 62 million voters to pursue America First policies, yet he was hardly able to do so because of the constant, incessant ankle-biting from the swamp.

00:15:57.000 Now those same swamp monsters are attempting to prevent you from ever casting a vote for Trump.

00:16:03.000 And with the decision in Colorado, other blue states like California are looking at attempting to remove Trump from their ballots as well.

00:16:10.000 This domino effect will continue unless the Supreme Court steps in or unless Republicans take a stand and push to remove Joe Biden from their ballots as well, which is sadly unlikely going to happen at the moment.

00:16:22.000 Again, this makes countries like Russia, which the United States regularly condemns for rigging elections and targeting dissidents, look like democratic paradises.

00:16:32.000 Everything which defined America as a place of effective transfer of power, universal suffrage, and free and fair elections has been totally eroded by the actions of the left. 0.97

00:16:40.000 And the GOP isn't doing a damn thing about it, further proving just how useless the Republicans have become, or maybe they've always been this useless. 0.89

00:16:52.000 Tragically, and sadly, the only way that America is devolving into a third world shithole, as President Trump would put it, is happening right before our eyes. 0.96

00:17:04.000 Immigration is rapidly altering the social fabric of this nation, eroding our cultural values and taxing our infrastructure in a variety of ways. 1.00

00:17:11.000 Under Joe Biden, the flood of immigrants swarming our southern border from hundreds of other countries has reached catastrophic levels. 1.00

00:17:18.000 Just the other day, a new record was set as nearly 13,000 immigrants attempted to enter into the United States in a 24-hour period.

00:17:26.000 That is 300,000 people in a single month.

00:17:31.000 That is the city of Pittsburgh showing up 12 times in a single year.

00:17:36.000 On Saturday at a rally in New Hampshire, Trump drew criticism for saying, quote, they're poisoning the blood of our country.

00:17:41.000 They're coming into our country from Africa and Asia and from all over the world, end quote.

00:17:47.000 He is totally right though.

00:17:48.000 You see, the vast majority of these illegal aliens do not share our values. 1.00

00:17:52.000 Do you think that they really care about democracy?

00:17:54.000 Do you think that these illegal aliens really give a damn about freedom of speech? 1.00

00:17:58.000 Do you think that they will go out of their way to stand up against government corruption? 0.99

00:18:03.000 And do you really think that these people who are having sex with goats in caves and people who use their hands to wipe their asses are ever going to truly assimilate into American culture? 0.99

00:18:14.000 And what's worse is that so many of these people are now coming from regions of the world with extremely low quality of life and dismal IQ scores. 1.00

00:18:21.000 You know, there is a reason why parts of Africa and the Middle East have struggled to build anything resembling Western society.

00:18:29.000 Most of the people who live in these regions in extreme poverty aren't exactly scholars and no amount of education or assistance will ever fix that.

00:18:36.000 They do not share our values and they never will.

00:18:39.000 The sheer volume of migrants entering the United States all but guarantees that they will never be assimilated into our culture. 1.00

00:18:46.000 They will remain fragmented, a disjointed populace living amongst us as they would have in Nigeria, Somalia or Honduras and Guatemala.

00:18:54.000 This can easily be seen in places like Minneapolis where the massive amount of Somali migrants and invaders have essentially carved out an enclave in that city. 1.00

00:19:03.000 These people even want Sharia law. 0.99

00:19:07.000 And this same unfettered immigration can be seen and felt in every aspect of life, particularly in the cities America used to be a high-trust society where you could casually stroll down the streets with your family. 0.82

00:19:19.000 But now it's a place where your kids cannot walk to school without worrying about being kidnapped.

00:19:25.000 It's a place no longer where you knew your neighbors and had a stake in your community.

00:19:30.000 That place now seems as far away as Fantasy World in a children's novel.

00:19:37.000 It is a crumbling, decaying ruin that is being flooded with hordes of foreign people who care little for it. 1.00

00:19:43.000 They do not remember what it once was, nor what it is supposed to represent.

00:19:48.000 Good American patriots have been silenced, neutered, and distracted while this has occurred.

00:19:52.000 And the left is taking full advantage of that by continuing their persecution of Donald Trump and his supporters by weaponizing our Justice Department and our law enforcement agencies.

00:20:08.000 And if this is allowed to continue, and if the Democrats are allowed to rig the 2024 presidential election, then it is not an exaggeration to say that America is over.

00:21:39.000 We watched what happened just two days ago when I went live on episode 17 of Lumer Unleashed and just moments before going live we saw that the Colorado Supreme Court ruled against Donald Trump and weeks ago when we originally had

00:22:16.000 The Colorado Supreme Court has unfortunately ruled against President Trump, which has caused other blue states and Soros-funded judges in places like California, including the Lieutenant Governor of California, who wants to be the next governor of California, to push for their own measures to remove President Trump from the ballot.

00:22:37.000 And so, this cannot be allowed to stand, and we're no longer respected in

00:22:42.000 I don't know.

00:23:01.000 We're good to go.

00:23:20.000 And they're really honestly leaving such a bad taste in the mouth of Democrats and Republicans and Libertarians because I don't personally think that all Democrats are radical.

00:23:29.000 I think that there's a lot of, I guess you could say, progressive Democrats that are communists, but then you also have a lot of old school Democrats who

00:23:39.000 You know, maybe they're just voting Democrat because their parents voted Democrat and they still believe in democracy.

00:23:44.000 And I think that we've seen that a lot of people are outraged and they're speaking out against this attack, right?

00:23:50.000 This attack on what we call democracy.

00:23:52.000 We have a constitutional republic, but it is an attack on the free world.

00:23:56.000 It is an attack on what's decent.

00:23:58.000 It's an attack on what is moral.

00:23:59.000 It's an attack on what is right.

00:24:00.000 And people are just not going to stand for this.

00:24:02.000 And there's been a lot of heated rhetoric over these last few days.

00:24:05.000 There's people actually calling for civil war.

00:24:07.000 There's people saying that we're going to have a civil war in this country if Donald Trump is not allowed to be on the ballot.

00:24:12.000 And so we're going to go through some of these reports, actually.

00:24:43.000 So, according to a database maintained by Lawfare, 16 other states have pending legal challenges to the 45th President's eligibility for office under the 14th Amendment.

00:24:52.000 Like Colorado, the lawsuits fallaciously claim that President Trump is barred because he engaged in an insurrection with his so-called actions during the Capitol Hill protests on January 6, 2021.

00:25:03.000 The full list is Alaska, Arizona,

00:25:07.000 Maine, Michigan, Nevada, New Jersey, New Mexico, New York, Oregon, South Carolina, Texas, Vermont, Virginia, West Virginia, Wisconsin, and Wyoming.

00:25:21.000 And the New York Times reports that four of these lawsuits in Michigan, Oregon, New Jersey, and Wisconsin have been filed in state courts.

00:25:29.000 Eleven lawsuits in Alaska, Arizona, Nevada, New York, New Mexico, South Carolina, Texas, Vermont, Virginia, West Virginia, and Wyoming have been filed in federal district courts.

00:25:37.000 And so you can see that

00:25:40.000 Nine of the active federal cases have been brought by John Anthony Castro, who was a long-shot Republican presidential candidate, and of course he's filed, they say, 27 or challenges in 27 states regarding President Trump's eligibility on the ballot under the 14th Amendment over the years, including a case within the Supreme Court.

00:25:58.000 This isn't good, and as we've reported, and as many have reported, following this ruling by the exclusively Democrat-controlled Colorado Supreme Court, California's Lieutenant Governor Eleni Kounalakis has demanded that the Secretary of State of California, Dr. Shirley N. Weber, considers legal avenues for excluding President Trump from California's 2024 presidential

00:33:36.000 You know, they're trying to make it so that Michelle Obama or Gavin Newsom can be the Democrat nominee, because as we've seen, Joe Biden just isn't cutting it, right?

00:33:45.000 His favorability and his approval ratings are at the lowest low they've ever been, and so he truly is turning out to be more unpopular than even Jimmy Carter, and President Trump made a joke about that the other day, and he said, yeah, Jimmy Carter can rest easy.

01:34:54.000 And I didn't realize that so many people were paying attention to what I had posted.

01:34:58.000 And then shareholders who have actually directly been affected by this scandal started reaching out to me during my live show this last Tuesday.

01:35:11.000 And it was pretty insane because I didn't realize how many of these shareholders from MMTLP were actually followers of mine.

01:35:19.000 Looking for a voice because they're having a hard time getting people in the media to actually highlight the story and over the last 12 months really the situation has been unfolding in the stock market and shockingly it has left over 65,000 families investments frozen and now it has raised all kinds of questions related to regulatory oversight

01:36:01.000 It's financial terrorism in my opinion.

01:36:04.000 And I'm really shocked that the mainstream media isn't talking about this more.

01:36:08.000 And it's been kind of under wraps in terms of how involved Congress has been in these last few weeks.

01:36:14.000 But apparently there are some members of Congress who have gotten involved and we're going to talk about this.

01:36:18.000 So how are you doing tonight?

01:36:20.000 I'm doing very well, Laura.

01:36:23.000 I'm doing well.

01:36:24.000 So I really honestly was not too familiar with this and I got in touch with you and I started reading all of the comments in my chat on Tuesday and it was distracting because I was reading the chat and I noticed that everybody started spamming the chat.

01:36:39.000 With MMTLP and I was like, what is MMTLP?

01:36:42.000 And I realized, oh yeah, that's what I was tweeting about earlier today and I didn't really know too much about it and I started reading more and I just felt that this story was so egregious and so many people have been negatively impacted by it that I wanted to have you on to talk about this because I think that it deserves more attention.

01:37:00.000 So, can you just give the viewers kind of a brief Cliff Notes overview of what has happened and what's going on, and why anybody who is invested in the U.S.

01:37:11.000 stock market should be worried about this?

01:37:14.000 So, first of all, I want to thank you very much for having me here tonight.

01:37:18.000 It means the world to so many people, so thank you so much.

01:37:23.000 I want to give you a little bit of background first.

01:37:26.000 There was a company called Torchlight Energy Resources.

01:37:30.000 And they're an oil and gas explorations company.

01:37:33.000 And in early in 2021, if you remember during COVID, the prices of oil at one point went negative.

01:37:40.000 So Torchlight wanted to find a way to create shareholder value, and they started exploring their strategic options.

01:37:49.000 There was a company in Canada by the name of Metamaterials that wanted to get listed on the NASDAQ.

01:37:58.000 So Metamaterials reached out to Torchlight to orchestrate a reverse merger which would allow Metamaterials to trade on the Nasdaq and at the same time create shareholder value for Torchlight Energy Resources shareholders.

01:38:13.000 Metamaterials did not want to be in the oil and gas exploration business.

01:38:19.000 So what ended up happening was they took the assets of Torchlight Energy Resources, which is 134,000 contiguous gross acres in the Oro Grande Basin,

01:38:33.000 And they took those assets and spun them off into a Series A Preferred Share Dividend.

01:38:39.000 What was supposed to happen was either those assets would be spun out into another company or they would sell, which would pay the shareholders.

01:38:48.000 Now, this dividend was never supposed to be made tradable.

01:38:53.000 Fast forward, this was June 2021 when this took place.

01:38:57.000 In October of 2021, all of a sudden, people opened their accounts and noticed that MMTLP was a ticker symbol that was assigned to this Series A Preferred Share Dividend and that it was trading.

01:39:12.000 Nobody knows how it happened because it was against the wishes of the company that issued the dividend.

01:39:18.000 CEO at the time, John Berta, reached out to OTC Markets, where the security was trading, and said, this is not authorized.

01:39:27.000 OTC Markets turned around and told John Berta, you need to take this up with FINRA.

01:39:32.000 John Berta reached out to FINRA and FINRA told him, you're not the CEO of the company anymore, so you don't have any standing to bring this up to us.

01:39:41.000 So this thing traded for over a year.

01:39:45.000 Now, in July of 2022, Metamaterials issued an S-1, which stated that the company planned on taking these assets and spinning them off into a privately-held, publicly-reporting company by the name of Nextbridge Hydrocarbons.

01:40:08.000 Not a tradable company, not supposed to be tradable.

01:40:10.000 They filed four S1s, they went through four revisions of their S1, starting in July, and finally in November of 2022, the SEC had no further comments, so a notice of effectiveness was filed, so that the spin-out could then be effectuated.

01:40:28.000 Now, what was supposed to happen was on December 12th,

01:40:36.000 The trading was supposed to stop.

01:40:38.000 There is a timeline on my Twitter account and it very clearly shows that on December 6th, FINRA released a corporate action notice that stated that the investing public had until the 12th to close their positions.

01:40:54.000 On December 7th,

01:40:57.000 Jeff Mendel, Vice President of OTC Markets, goes on a broadcast and informs the entire investing public that we have until December 12th to close our positions.

01:41:09.000 FINRA released another corporate action the following date stating the same.

01:41:14.000 In that interim time period between December 6th and December 9th, every single major U.S.

01:41:20.000 broker dealer informed their clients that inquired that we had until December 12th

01:41:26.000 To close our positions only for us to wake up on December 9th and discover that we were halted and I sent you a clip of the vice president of OTC markets.

01:41:39.000 I don't know if you want to go to it or not.

01:41:44.000 Absolutely.

01:41:45.000 I think it's very disturbing, some of this information that you're sharing.

01:41:50.000 And it's just shocking that they could get away with things like this.

01:41:54.000 I know we have a clip, and you sent me this clip earlier, and I want to play the clip for the viewers so that they can get a better idea of what you're talking about.

01:42:05.000 And so we're going to play this clip.

01:42:08.000 We're getting it pulled up right now, and this really kind of explains a lot of what you were just talking about.

01:42:14.000 And then, of course, after we play the clip, I want to get your, uh, get your get your feedback on the clip and kind of your impression of it.

01:42:23.000 Basically, per FINRA's corporate action, basically what that means is MMTLP is being deleted as a ticker after the trading day on the 12th, so it's deleted on the 13th.

01:42:40.000 And so that means that you no longer are reporting a trade in MMTLP.

01:42:47.000 After that date.

01:42:48.000 And so, I think it's spinning up into NexBridge, hydrocarbons?

01:42:54.000 Something along those lines.

01:42:57.000 As far as where that trades and how that trades, I'm not 100% sure right now.

01:43:04.000 But what I can say, though, is MMTLP, as of the end of trading on the 12th, will no longer be on the OTC markets.

01:43:14.000 And that's the most important point to come across here.

01:43:16.000 If you are holding these shares on the OTC markets, guys, again, end of trading on the 12th.

01:43:22.000 It's coming off of the OTC.

01:43:25.000 There's also a deadline that I saw in this press release of the 12th as well.

01:43:30.000 So any shareholders on record as of the 12th will be involved in this Nextbridge hydrocarbons transaction.

01:43:37.000 So the 12th, obviously, the most important date.

01:43:42.000 So they said the 12th, but the controversy here is that they halted, right, on the 9th.

01:43:48.000 So those were his own words, and that is going to be used against him.

01:43:53.000 I don't know, what do you think about that?

01:43:55.000 I mean, it's pretty cut and dry, right?

01:43:58.000 It's pretty cut and dry.

01:44:00.000 It's very simple.

01:44:01.000 This was December 7th.

01:44:03.000 The halt came on December 9th, and the halt was unforeseen.

01:44:07.000 And because of that, this halt caused short positions to be unresolved, fails to deliver to go uncured, and millions of other what are believed to be counterfeit shares that are believed to exist to now be carried over into what is a private non-trading company.

01:44:27.000 Subsequently, because there are so many additional shares above and beyond that legally authorized amount, there is a significant, massive amount of people, like you've said, over 65,000 families that don't have access to their money, they've been deprived of their rights to a free and fair market, and they haven't even been delivered their shares in the private company.

01:44:50.000 It has caused a mess, and that's pretty much the long and short of it.

01:44:55.000 So what reasons have they given for the halt and what exactly is the SEC doing about this?

01:45:02.000 So back in March, on March 16th, FINRA released an FAQ to the investing public.

01:45:11.000 It has since been debunked every which way imaginable.

01:45:15.000 But one of the things that they stated was that they halted it because they were protecting unsuspecting buyers that would have bought on the 9th and the 12th.

01:45:26.000 Which doesn't make any sense because the communications that we got from our brokers clearly spelled out that this was supposed to be position close only on the 9th and the 12th, which means no new buyers.

01:45:40.000 That last two days, obviously, the 9th and 12th never happened, caused short positions to go into the private company, and we've been stuck ever since.

01:45:51.000 So what you're saying then is you've basically been stuck for an entire year, you and 65,000 other American families.

01:45:59.000 Those are families and so that's a lot of people.

01:46:02.000 Those are actual families and when you imagine how many people are within a family,

01:46:06.000 Just think of how many Americans this is actually impacting.

01:46:10.000 These people have been stuck for over a year without their money and their shares.

01:46:14.000 And so, how has this personally affected you, and how is this impacting and affecting these families?

01:46:20.000 It's probably upwards of over 100,000 people if we're talking about 65,000 families.

01:46:26.000 Depending on the size of the family.

01:46:27.000 Maybe even more.

01:46:28.000 Absolutely.

01:46:29.000 Absolutely.

01:46:30.000 It's been devastating.

01:46:33.000 You know, thankfully, I'm okay, but I've seen some really devastating consequences left in the wake of this situation.

01:46:41.000 We've seen homes be lost to foreclosures, people have gotten divorced, people have had their savings wiped out, stress-related illness, and in one case, two little girls in the state of Arizona no longer have someone to call daddy.

01:46:58.000 And as the father of a four-year-old little girl, I can't tell you what that does.

01:47:03.000 Um, my understanding, it was shortly after the halt.

01:47:23.000 And that's why we're here, and that's why we're fighting.

01:47:26.000 Not only to reach a resolution that's fair to the people that are suffering, but at the same time to make sure that something like this doesn't happen anymore.

01:47:34.000 There's obviously a gap somewhere, and we're here to fight to make sure that it gets fixed.

01:47:41.000 Yeah, and I know that you mentioned Arizona, and you said that Congressman Eli Crane is one of the congressmen that has gotten involved in this.

01:47:48.000 What other members of Congress have gotten involved?

01:47:50.000 We have a letter, I know that you sent me a letter earlier, that is a letter that was really signed by several members of Congress, not a ton, when you look at all the members that are in Congress, but who exactly has been receptive to

01:48:04.000 So...

01:48:16.000 The first person to put out a letter for us was Congressman Eli Crane.

01:48:21.000 Our community, we have a community of about 2,000 people or so, 2,000 to 3,000 people.

01:48:27.000 We broke off into state groups and we started rallying to our congressional representatives for help here.

01:48:36.000 The Arizona State Group was the first one to produce a measurable result with Congressman Eli Crane.

01:48:44.000 He put out a letter for us.

01:48:46.000 Shortly after that, 15 members of the House Committee on Financial Services, mainly Republicans, also put out a letter on our behalf.

01:48:57.000 But since then, we've also seen Congresswoman Norma Torres, Senator Crapo, David Valadao, Jared Huffman, Vicente Gonzalez, and Josh Harder all put out letters on our behalf.

01:49:10.000 And there is a major effort underway now to have an open letter that is hopefully going to be signed by dozens of congressional representatives, if not over a hundred, we hope, which will

01:49:26.000 Hopefully carry a very powerful message, ask some very powerful questions, and be impossible for the SEC to ignore.

01:49:33.000 Who do you say has been the most helpful, though?

01:49:38.000 Because anybody can sign their name to a letter, right?

01:49:40.000 It doesn't really take much effort to do that.

01:49:42.000 Who is your biggest fighter right now, would you say, in Congress?

01:49:48.000 Honestly, we've had such tremendous help from Pete Sessions.

01:49:53.000 We've had tremendous help from Rep Ralph Norman.

01:49:57.000 There's a gentleman in the state of West Virginia.

01:50:00.000 His name is Chris Rose.

01:50:01.000 He's running for state Senate.

01:50:03.000 He was running on the federal level.

01:50:06.000 He was instrumental in opening a lot of doors for us as well.

01:50:12.000 That's really nice.

01:50:13.000 I'm happy to hear that you found some advocates at least.

01:50:17.000 How many people within your community are on social media and are these professional traders or are these just everyday people?

01:50:25.000 Ordinary Americans? 0.71

01:50:26.000 Yeah, as I said before, there's about 2,000 to 3,000 people and they come from all walks of life.

01:50:31.000 We're talking about first responders, we're talking about teachers, we're talking about retirees, and we're also talking about military veterans.

01:50:39.000 And this is something I'd like to spend a minute talking about.

01:50:42.000 Yeah, go ahead.

01:50:44.000 Out of our 2,000 to 3,000 shareholder group, we've discovered roughly 140 military veterans with over $12 million

01:50:53.000 of their money frozen in this situation.

01:50:56.000 If you take that line and you extrapolate it outwards for upwards of 65,000 shareholders, you're talking about thousands of military veterans with up to a half a billion dollars of their money frozen.

01:51:10.000 And I just want to draw attention to one name, if I may.

01:51:13.000 His name is Lieutenant Colonel Alan Bradshaw.

01:51:17.000 Lieutenant Colonel Alan Bradshaw flew Marine One for two presidents

01:51:22.000 Ronald Reagan and George H.W.

01:51:24.000 Bush.

01:51:24.000 If you've ever seen a picture of Ronald Reagan outside of Marine One, you might notice the pilot that's smiling gleefully at the camera.

01:51:31.000 He's a handsome guy, too.

01:51:33.000 That is Lieutenant Colonel Alan Bradshaw.

01:51:35.000 And this has been devastating to him, just as it's been devastating to everybody who's been stuck in this thing.

01:51:42.000 But the people come from all walks of life.

01:51:44.000 It sounds devastating.

01:51:47.000 What have the brokers said to people who have asked them about where their money and their shares are?

01:51:51.000 Especially the guy on that interview that said that people had until the 12th to get their money out.

01:51:59.000 Yeah, so the guy on the interview is actually the vice president of OTC Markets, where this was trading.

01:52:06.000 We inquired with our brokers after this halt, and they basically have all given us different stories.

01:52:14.000 What we're supposed to be able to do is transfer our shares to the transfer agent, which basically directly registers the shares in your name.

01:52:24.000 The problem is that these brokerages are giving us the runaround.

01:52:28.000 They're saying, yeah, it's going to take six to eight weeks.

01:52:31.000 Yeah, it's going to cost something when the S1 clearly states it shouldn't cost you anything.

01:52:35.000 And then people pay the freight to get their shares transferred.

01:52:39.000 They say it takes six to eight weeks, and then on the third or fourth week, they kick your shares back saying that your transfer has been terminated.

01:52:47.000 It has been really, there has been a real breakdown of continuity amongst the brokers, and I just want to point one out in particular.

01:52:56.000 Fidelity.

01:53:35.000 And just to kind of go back to the devastation that this has caused, I want to tell you a quick story about a gentleman named Juan.

01:53:42.000 Juan has a 14 year old daughter who just underwent chemotherapy treatments because she was diagnosed with stage 4 lupus.

01:53:50.000 Juan is staring down the barrel of a $250,000 medical bill and to add insult to injury, Fidelity is his broker.

01:53:59.000 So not only is his money frozen,

01:54:01.000 But they're actually trying to force him to pay capital gains taxes on his investment that he never made a penny on.

01:54:07.000 And that just shows you the lack of continuity and regulatory oversight amongst the brokers.

01:54:13.000 Yeah, it sounds devastating.

01:54:15.000 It sounds like people's lives are just being completely destroyed over this.

01:54:19.000 Which leads me to my next question.

01:54:22.000 Has there been any lawsuits filed over this?

01:54:24.000 Are there any ongoing efforts to pursue litigation?

01:54:30.000 Yeah, there have been five different legal efforts in five different states.

01:54:34.000 Actually, now there's a new one in Florida from Steamroller.

01:54:40.000 California, Georgia, Florida, Washington, and in the state of New York, a petition was filed under CPLR Section 3102, which basically allows you to do discovery before filing a claim against anyone so that you can ascertain who it is you have to file a claim against.

01:54:59.000 All of these legal actions are simply seeking transparency from FINRA.

01:55:05.000 They're not asking largely for monetary damages.

01:55:09.000 We just want answers.

01:55:11.000 We just want to know how many shares were sold to the investing public.

01:55:15.000 It's a simple share count.

01:55:17.000 And not only has FINRA refused to provide a share count to this point,

01:55:21.000 But what they've done is they fought every single legal action that is simply calling on them to be transparent.

01:55:27.000 If you think about it... And if you can... Yeah, if you can too, just because not everybody... This is a political show, right?

01:55:33.000 And so I don't know if everybody really knows what FINRA is.

01:55:37.000 If you can go ahead and explain to the viewers watching who may be hearing this information for the first time what FINRA is.

01:55:45.000 Yeah, so the SEC, the Securities Exchange Commission, really has ultimate oversight.

01:55:50.000 But they delegate some of the responsibilities, especially with respect to stocks that trade on the OTC.

01:55:56.000 They delegate a lot of those responsibilities to FINRA.

01:56:00.000 FINRA is supposed to have the oversight.

01:56:02.000 They are the regulator.

01:56:04.000 They're also an SRO, which means that they have absolute immunity.

01:56:09.000 And anytime someone tries to sue them, they claim absolute immunity.

01:56:40.000 The crazy thing about this is I shouldn't have to sue the United States Army to protect me against a foreign invasion.

01:56:47.000 We are literally having to take legal actions against FINRA to do the very thing that they are supposed to do, and they haven't done.

01:56:55.000 Well, as you've probably seen, our country is pretty dysfunctional right now.

01:56:59.000 What has FINRA or the SEC said in response to all of this so far?

01:57:07.000 Gary Gensler, so first of all, FINRA released two FAQs.

01:57:12.000 The first one was back in March, that was debunked.

01:57:14.000 The second one was released in early November.

01:57:17.000 And for people watching, just because this is your jargon, right?

01:57:22.000 For people watching who don't know what an FAQ is, explain.

01:57:25.000 Just because we have some people who may not really understand the terminology watching.

01:57:30.000 I just want to make sure that everybody can understand, you know, what they're hearing.

01:57:34.000 Yeah, so FINRA has been getting a lot of questions, both from Congress and from the investing public.

01:57:40.000 And this is the first time that they've ever had to publish an FAQ on a specific security.

01:57:46.000 They've never had to do this before.

01:57:48.000 Now they've done it twice.

01:57:49.000 And both times, those FAQs have been proven to be, I want to use the words, opaque.

01:57:59.000 Case in point, the second FAQ, the first FAQ was released in March and since March we had a bunch of letters from Congress come out because their FAQ didn't answer any questions and then again in November they released another FAQ which didn't tell us much

01:58:16.000 But what and what happened after that was we got even more letters from Congress and this gigantic open letter effort coming as well.

01:58:26.000 What FINRA did tell us in their FAQ is that there are 200, no I'm sorry, 2.65 million

01:58:34.000 Short shares that have been carried over into this private company and it doesn't make any sense because if this company begins paying dividends and let's say 10 years from now they pay they continue to pay dividends if the person on the short side of a transaction is supposed to pay whoever is on the long side of the transaction for the dividend.

01:58:55.000 So if the person on the short side of the transaction, let's say, is no longer with us, who's supposed to pay that dividend?

01:59:03.000 That's why short shares are typically not carried over into companies that are not tradable.

01:59:10.000 Now, Gary Gensler has appeared twice before two different committees of jurisdiction.

01:59:17.000 We're good to go.

01:59:35.000 We can't release any information on anything that may or may not have an investigation, but if you send me your requests, we can respond to you in writing with the data.

01:59:46.000 And we just found out yesterday or the day before via FOIA

01:59:51.000 That the response that Gary Gensler gave to Senator Crapo's inquiries stated, we can't release any information due to a quote-unquote active investigation.

02:00:02.000 It has been over a year, no charges have been filed against anyone, and they're still hiding under the cloak of this active investigation.

02:00:11.000 Alright, well, you know, I'm gonna play devil's advocate here for a minute and some people will say, you know, I don't know what you're complaining about because everybody knows that when you invest your money into the stock market, your return isn't guaranteed and that you could always run the risk of losing your entire investment.

02:00:29.000 So what do you have to say to someone who is listening to you say all of this right now?

02:00:34.000 Or is looking at this situation and all these people, these 65,000 Americans who have lost their money and the people that say, well you know when you invest in the stock market you run the risk of losing all your money.

02:00:44.000 What do you have to say to those people?

02:00:47.000 So I can appreciate the inherent risk that comes along with investing in the stock market.

02:00:51.000 If I invest in a company and the company goes bankrupt, that's on me.

02:00:56.000 If I invest in a company and the CEO of the company is indicted for laundering money for El Chapo, you know what, that kind of stuff happens.

02:01:06.000 If I invest in a security that is set to spin out, and the brokerage, the regulator, and the vice president of the market where it is trading all tell me that I have until December 12th to close my position, only for them to halt it on December 9th, within 48 hours of that statement being made, inherent risk is not supposed to mean

02:01:31.000 That everybody tells me that I have until the 12th to sell, only to wake up on the 9th and find out that I'm halted.

02:01:37.000 I'm sorry, I don't accept that as an answer for those reasons.

02:01:43.000 How does this affect the United States stock market in general, would you say?

02:01:48.000 You know, that's a really good question.

02:01:51.000 It is... So, the issue at hand here is really the practice of naked shorting and selling counterfeit shares.

02:02:02.000 The security, we believe, was made tradable because there was a large imbalance in torchlight and they wanted to find a way to make this tradable so that they wouldn't have to cover short positions.

02:02:20.000 How it affects the broader market in general?

02:02:23.000 Even just a couple of months ago, Elon Musk was talking about how he suspected that there was

02:02:29.000 That there was some abusive short selling going on within his own security.

02:02:37.000 The fact of the matter is that it is believed that I can tell you now they didn't just wake up one day and decide they were going to do this to one security and they were never going to touch any other security.

02:02:48.000 If you have a dollar.

02:02:49.000 In any security in the United States stock market, you are at risk.

02:02:54.000 Now, the difference between this situation and those other situations is that we are actually frozen in time, which means that we can actually get the share count, get the data, ascertain the imbalance, and stop something like this from ever happening again.

02:03:09.000 But as long as these practices continue to go on on Wall Street, your 401k, your IRA, your investments, your savings, all of them are at risk.

02:08:58.000 And nothing came of it and then when you fast forward and these emails were at the highest level of the SEC and FINRA and when you fast forward it actually the FOIA showed that on December 5th

02:09:17.000 Blue sheet data is basically all of the trading information for a brokerage or a clearinghouse.

02:09:24.000 It says this client traded this many shares, that client traded that many shares, and so on and so on.

02:09:34.000 So we believe that once they saw, I think what we believe is they might have seen something in those blue sheets that led them to believe that this was going to cost a lot of people a lot of money to fix this situation before the spinout was effectuated.

02:09:50.000 So instead of holding the people accountable, they just hit the halt button and tried to sweep us under the rug.

02:09:56.000 What they didn't count on was that this community was going to act as seeds when they threw us in the dirt, and now we've grown trees with branches that are spreading towards justice.

03:24:20.000 To answer your question, to be honest with you, for the person who asked why I'm always so short of breath, I just have, like, the worst asthma, and I haven't been able to, like, figure out a way to get rid of it.

03:24:32.000 But, honestly, I think, like, a lot of it has to do with stress.

03:24:35.000 Politics is so stressful.

03:24:39.000 And stress can actually make your asthma really worse, and I just, like, never have time to rest.

03:24:45.000 It's really sad, but that's just the facts.

03:24:48.000 I feel like my asthma has honestly gotten, like, so much worse over these last few months.

03:24:53.000 Someone said I work too much.

03:24:54.000 Yeah, I do take albuterol.

03:24:57.000 I take albuterol and sometimes I, my producer knows too, I always carry my albuterol inhaler with me and I like take my albuterol right before I do my show and I don't know, I've tried everything.

03:25:06.000 I've tried my albuterol, I've tried like the inhaler steroids and not to get like too personal and whatnot but yeah, no, I have like the worst asthma over these last

03:25:17.000 I never used to really have it, but something like over these last six or eight months has just made it go crazy.

03:25:25.000 So, and it just makes me feel so tired, too.

03:25:29.000 So, I've really, really put so much time and effort into my shows.

03:25:34.000 I hope you all know how much effort I put into it, to the point where even my own doctor is like, oh my God, you gotta chill, you gotta take some time off, you gotta rest, because you're damaging your lungs so much.

03:25:45.000 But, yeah.

03:25:48.000 You know, you gotta make some sacrifices.

03:25:52.000 We gotta save the country.

03:25:53.000 But yes, when I talk and I do my three-hour shows, I will be totally honest with all of you.

03:25:59.000 Since some of you have noticed and some of you asked me about it, I, like, just get really bad pain in my lungs a lot of times, and I have, like, really bad pain in my throat, and I just have super, like, shortness of breath, and it's because of my asthma.

03:26:14.000 And I never had asthma growing up, but over these last

03:26:18.000 Probably like over the last year or so.

03:26:20.000 I started to get asthma towards the end of my second congressional campaign, and I think a lot of it has to do with the stress, but it really honestly has just not gotten any better.

03:26:29.000 I don't know what to do.

03:26:31.000 I really don't know what to do.

03:26:33.000 And I think also, too, I got COVID around that time of my second congressional campaign.

03:26:39.000 And so, really true story, I took those like Z-Pak, Zelenko supplements for a while because I thought that that was going to help.

03:26:46.000 And then someone said, oh, you probably have long COVID or something.

03:26:49.000 But no, like I had all the tests and I did antibiotic treatments.

03:26:54.000 I did everything, honestly.

03:26:55.000 But I think it's honestly just stress-induced asthma, really.

03:27:00.000 And I know that sounds terrible to say, but I don't see that going away anytime soon just because of how stressful my life is.

03:27:06.000 But...

03:27:09.000 Someone said a dehumidifier at night always helped my stung long-term steroids make asthma worse.

03:27:14.000 Yeah, honestly, I feel like after I took the steroids for the asthma, it made it worse, but I was told it was gonna make it better, but I don't know.

03:27:26.000 I drink my tea as well, for those of you who say drink some tea.

03:27:30.000 But I'm definitely looking forward to having a week off because I really need some rest.
